PTCL Applies for Telenor-Ufone Merger Clearance

Pakistan Telecommunication Company Limited (PTCL) has formally submitted an application to the Pakistan Telecommunication Authority seeking approval for the merger of Telenor Pakistan and Ufone, sources confirmed.

PTA is expected to complete its review within one and a half to two months, assessing the proposed business plan, network infrastructure, tower assets, and operational aspects before approval.

Once PTA grants clearance, the transaction will move to the Securities and Exchange Commission of Pakistan for regulatory approval, followed by mandatory court endorsement of the Scheme of Arrangement.

The entire regulatory and legal process for the merger is expected to take approximately five to six months before the integration can be formally completed.

The merger follows PTCL Group’s recent acquisition of Telenor Pakistan and Orion, marking a major step in consolidating the country’s telecom sector under a single mobile operator.

The transaction aims to strengthen PTCL Group’s mobile segment by integrating Telenor Pakistan’s operations with Ufone’s existing infrastructure and customer base across the country.

Industry experts say the merger could deliver operational efficiencies, expanded network coverage, and enhanced services while also intensifying competition among the remaining telecom operators in Pakistan.

PTA’s review will closely evaluate the merger’s potential impact on market competition, spectrum concentration, and consumer interests before granting final approval for the transaction.
