Pakistan’s hopes for an airline revival took a concrete step forward as the Board of Privatization Commission (BPC) prepares to consider the proposed transaction structure for Pakistan International Airlines Corporation Ltd (PIACL) on Tuesday.

The decision-making ball is now in the court of the financial advisors appointed for the national flag carrier’s divestment. They have recommended a “legal segregation” approach, aiming to neatly separate PIACL’s core aviation business and assets from its non-core ones.
This two-pronged strategy prioritizes the divestment of PIACL’s core aviation services. To achieve this, the proposal outlines the legal separation of these operations, establishing a dedicated entity for their efficient sale. Meanwhile, the remaining non-core assets, such as properties and investments, would be housed in a separate holding company. This paves the way for their subsequent disposal through distinct structures and transactions, ensuring a more targeted and optimized approach.
During the BPC’s consultative meeting, chaired by Caretaker Minister for Privatization Fawad Hasan Fawad, the roadmap for the privatization process was thoroughly discussed. Valuable inputs from all stakeholders were gathered, with the aim of further refining the plan before presenting it to the Cabinet Committee on Privatization and ultimately, the Federal Cabinet, for final approval.
This proposed “legal segregation” method presents several potential benefits. It allows for a focused sale of the most promising business segment, the core aviation services, hopefully attracting better offers and ensuring smoother transition. Additionally, separating the non-core assets provides greater flexibility for managing their disposal, potentially unlocking hidden value and contributing to a more attractive overall package for potential buyers.
The BPC’s upcoming decision on the transaction structure is a critical juncture in PIACL’s privatization journey. With careful consideration and stakeholder collaboration, this approach could lay the groundwork for a successful revival of the airline, propelling it towards a brighter future under new ownership.
